Graves Fowler Associates has developed the following standards for work based on guidelines prepared by the American Institute of Graphic Arts (AIGA). When we work with you, the following issues will be addressed in your contract.

Revisions and Alterations. Fees are based upon the time estimated to complete the services specified in this agreement during normal working hours. Any revisions or additions to the services described in this agreement shall be billed as additional services not included in any fee specified above.

Such additional services shall include, but shall not be limited to, changes in the extent of work, changes in the complexity of any elements of the project, and any changes made after approval has been given for a specific stage of design, documentation, or preparation of artwork.

Graves Fowler shall keep the client informed of any additional services that are required and shall request approval for any additional services which cause the total fees to exceed the fees set forth in this contract.

Rush Work. The client shall pay a surcharge for any services requiring work to be performed outside of normal working hours by reason of unusual deadlines or as a consequence of the client not meeting scheduled times for delivery of information, materials, or approvals. The surcharge for rush work shall be at the standard rates plus 50%. Normal working hours are 8:30 am to 6 pm, Monday through Friday.

Client Representative. The client shall appoint a representative with full authority to provide or obtain any necessary information and approvals that may be required by Graves Fowler. The client representative shall be responsible for coordination of briefing, review, and the decision-making process with respect to persons and parties other than Graves Fowler and its subcontractors. If, after the client representative has approved a design, the client or any other authorized person requires changes that necessitate additional services from Graves Fowler, the client shall pay all fees and expenses arising from such changes as additional services.

The client shall proofread and approve all final artwork. The signature of the client representative shall be conclusive as to the approval of all artwork, photographs and illustration prior to their release for printing, fabrication, installation, or final site launch.

Materials to be Provided by the Client. The client is responsible for the accuracy and completeness of all information and materials provided to Graves Fowler. The client also guarantees that all materials supplied to Graves Fowler are owned by the client or all necessary rights have been obtained to permit Graves Fowler to use them for this project.

All copy provided by the client shall be in digital form. Photographs, illustrations, or other visual materials provided by the client shall be of professional quality and in a form suitable for reproduction without further preparation or alteration. The client shall pay all fees and expenses arising from its provision of materials that do not meet such standards. Graves Fowler will provide costs for approval before such work is begun. Graves Fowler will return all materials provided by the client after completion of the project and payment of amounts due.

Liability of Graves Fowler. Graves Fowler shall take reasonable precautions to safeguard original or other materials provided by the client. Graves Fowler shall not, however, be liable for any damage to, or loss of any material provided by the client, including artwork, photographs, or manuscripts other than or on account of willful neglect or gross negligence of Graves Fowler.

Third Party Contracts. Graves Fowler may contract with others to provide services such as writing, photography, illustration, printing, fabrication, and technical development. The client specifically grants to Graves Fowler the right to act on the client’s behalf to give instructions to any person or entity involved in the project. Any such instructions or approvals by the client may only be made through Graves Fowler. The client shall be bound by all such instructions given by the designer within the scope of this agreement.

Rights and Ownership. Unless specifically negotiated, the client is purchasing reproduction rights only for all artwork. Preliminary concepts and final artwork shall not be adapted, imitated, or modified without the knowledge and consent of Graves Fowler. Concepts remain the property of Graves Fowler if not taken to final art.

All illustration, photography, and other third party artwork contracted for this project will have reproduction rights specified and agreed to by both the client and the third party. Graves Fowler will negotiate terms and provide written documentation of agreements to client for approval.

Cancellation or termination. Either party may cancel or terminate this contract with seven (7) calendar days written notice. In the event of such cancellation of this project, a fee for work completed to date, based on the estimated price and expenses already incurred, shall be paid by the client. If any work produced by an illustrator, photographer, or other creative service subcontractor is deemed unacceptable by the client, a cancellation fee or kill fee of 50% of the contracted cost will be paid by the client.
